Hiring without an entity
Can a foreign company hire an employee in Bangladesh without a local entity?
Yes. A foreign company can employ staff in Bangladesh without incorporating by using an Employer of Record. EORBangladesh's Bangladesh entity signs the employment contract and carries the statutory obligations, while the foreign company directs the day-to-day work. This avoids RJSC registration, BIDA approval and a local bank account.
How quickly can an employee be onboarded in Bangladesh through an EOR?
Onboarding through EORBangladesh typically completes in 5–7 business days once the role, compensation and the employee's national ID and e-TIN are confirmed. We issue a compliant employment contract, register the employee on payroll and set up statutory deductions; you supply the job description and start date. Incorporating a local entity, by comparison, usually takes 8–12 weeks.
Is using an Employer of Record legal in Bangladesh?
Yes. An EOR is a Bangladesh-registered company that employs staff under the Bangladesh Labour Act 2006 and provides their services to a client under a commercial agreement. The employment relationship, payroll and statutory contributions sit with the EOR entity. EORBangladesh's structure has been reviewed by Rahman & Associates, Dhaka, and a written opinion is available to clients on request.
Does an EOR create a permanent establishment for my company in Bangladesh?
Permanent-establishment (PE) risk depends on what your staff do and on the tax treaty between Bangladesh and your country, not only on the employment model. An EOR keeps the employment relationship local, which removes one common trigger (registering as an employer), but activities such as habitually concluding contracts on your behalf can still create exposure. We flag PE-sensitive roles at onboarding and recommend tax advice in both jurisdictions.
Who is the legal employer when I hire through EORBangladesh?
EOR Bangladesh Limited (RJSC C-176452/2019) is the legal employer. It signs the employment contract, pays salary in BDT, withholds income tax for the NBR and administers statutory benefits. You direct the work, set objectives and manage performance day to day.
Can I move employees from the EOR to my own entity later?
Yes. When you incorporate through RJSC and BIDA, employment transfers to your new entity with the employee's consent and a new contract. We handle the offboarding, final settlement and continuity of service records, and our incorporation advisory service supports the registration. Engagements run on 30 days' notice with no transfer fee.
Can an EOR employ Bangladeshi staff working remotely for a foreign manager?
Yes. Remote work for a foreign manager is the most common EOR arrangement in Bangladesh and covers about 80% of the staff we employ. The employee is employed in Bangladesh, paid in taka and covered by local law; reporting lines, tools and objectives are set by your company.
Cost and pricing
What does an EOR in Bangladesh cost?
Two parts: the employee's gross salary and statutory employer costs, billed at cost, plus one fixed EORBangladesh service fee of USD 299 per employee per month (USD 249 from ten employees). There is no set-up fee and no local entity is required. See the pricing page for the included and billed-separately table.
Is there a set-up fee or minimum term?
No set-up fee. Engagements run month to month with 30 days' written notice on either side after the first month. There is no minimum headcount and no lock-in.
What exchange rate is applied to the invoice?
The Bangladesh Bank published buying rate on the invoice date, shown on every invoice alongside the BDT amounts. We add no FX margin; if you prefer to pay in BDT to our Dhaka account, you can.
Are statutory employer costs marked up?
No. Salary, Provident Fund employer contributions, gratuity accrual and festival bonuses are passed through at cost and shown line by line. The only margin is the fixed service fee.
Does the fee change with salary level?
No. The service fee is USD 299 per employee per month regardless of salary, and USD 249 from the tenth employee. This is a deliberate difference from percentage-of-payroll pricing used by some providers.
What is billed separately?
Recruitment (12% of first-year salary or USD 900 fixed), equipment leasing (USD 35 per laptop per month), workspace (USD 120 per seat), health cover premiums (from USD 18), expatriate work-permit government fees and courier or notarisation costs, always agreed in writing before they are incurred.
When and how do we pay?
Invoices are issued on the 28th of each month for the following month's salaries and fees, payable within seven days by bank transfer or Wise. Salaries are paid to employees on the last working day of the month.
Payroll, tax and statutory benefits
What must be paid into Provident Fund and gratuity for Bangladesh staff?
Where a Provident Fund is constituted, the Act provides for an employee contribution of not less than 7% and not more than 8% of basic wages, matched equally by the employer (Bangladesh Labour Act 2006, s.264). EORBangladesh operates a constituted fund at the 8% rate for all EOR employees. Gratuity is a minimum of 30 days' wages for each completed year of service, rising to 45 days' wages per year where service exceeds 10 years (Bangladesh Labour Act 2006, s.2(10)), paid on exit and accrued monthly in your invoice.
How is income tax withheld from salaries in Bangladesh?
Employers deduct income tax at source from salary under NBR rules and remit it monthly, issuing each employee an annual salary certificate. Current rules provide a tax-free threshold of BDT 375,000 for individuals (higher for women, senior citizens and persons with disabilities) and progressive rates of 5% to 30% above it (Finance Act 2026, FY 2026–27). Rates change with each Finance Act; EORBangladesh applies the current schedule and issues the certificate in July each year.
In which currency are Bangladesh employees paid?
In Bangladeshi taka (BDT) to a local bank account, as required for resident employees. You are invoiced in USD, GBP or EUR at the Bangladesh Bank published rate on the invoice date, with no FX mark-up and the BDT amounts shown line by line.
Can you run payroll for our own Bangladesh entity?
Yes. Payroll outsourcing is available to companies with a Bangladesh entity from USD 45 per employee per month (minimum USD 250 per month). We calculate, produce payslips, prepare bank files and withholding returns, and maintain the statutory registers; your entity remains the employer.
What is the payroll cut-off and pay date?
Changes (new joiners, leavers, variable pay) are due by the 20th of the month; salaries are paid on the last working day of the month, within the seven-working-day limit set by s.123 of the Labour Act. Income tax is remitted to the NBR and Provident Fund contributions are deposited by the 15th of the following month.
Compliance and labour law
Which law governs employment in Bangladesh?
The Bangladesh Labour Act 2006, as amended in 2013 and 2018, together with the Bangladesh Labour Rules 2015 (amended 2022), governs most private-sector employment, covering contracts, working hours, leave, wages, Provident Fund, gratuity, termination and dispute procedures. Income-tax withholding is governed by the Income Tax Act 2023 and the annual Finance Act.
Does the Labour Act apply to office and IT workers?
The Act's coverage depends on the definition of "worker" in s.2(65) and the nature of the establishment; staff employed mainly in a managerial or administrative capacity fall outside parts of the Act while remaining subject to their contract. EORBangladesh applies the Act's entitlements as a floor to every contract regardless of classification, which removes the argument.
What are the working-hour and leave entitlements in Bangladesh?
Eight hours a day and 48 a week (s.100, s.102), overtime at twice the basic rate (s.108), one weekly holiday (s.103), 10 days' casual leave (s.115), 14 days' sick leave (s.116), earned leave at one day per 18 worked in commercial establishments (s.117) and 11 festival holidays (s.118). What happens when an employee is terminated in Bangladesh?
The Act distinguishes termination (s.26: 120 days' notice or pay in lieu for monthly-rated staff, plus compensation of 30 days' wages per year of service), dismissal for misconduct (s.23, after a written charge and enquiry), discharge on ill-health (s.22), retrenchment (s.20) and resignation (s.27: 60 days' notice). Follow the procedure exactly; we prepare every step.
Are festival bonuses mandatory?
Yes. Employees receive two festival bonuses each year, each capped at one month's basic wage, for employees with at least one year of continuous service (Bangladesh Labour Rules 2015, Rule 111). EORBangladesh includes festival-bonus accrual in the employer-cost estimate for every hire so there are no surprises at Eid.

How long does it take to register a company in Bangladesh?
Incorporation runs through RJSC name clearance, document filing and certificate issue, followed by trade licence, e-TIN, VAT registration, bank account with capital remittance and, for foreign investment, BIDA registration. Total elapsed time is typically 8–12 weeks for a wholly foreign-owned private limited company. An EOR hire completes in 5–7 business days.
At what headcount does an entity become cheaper than an EOR?
It depends on the fixed cost of running an entity (office, statutory audit, accounting, company secretary, annual filings — typically USD 30,000 or more a year in Dhaka) against the EOR fee multiplied by headcount. At USD 299 per employee the crossover is around 15 employees; at the volume rate of USD 249 it is closer to 20. The right answer also depends on how long you expect the team to exist. Can a foreign company own 100% of a Bangladesh company?
Yes. Bangladesh permits wholly foreign-owned private limited companies in most sectors, with BIDA registration for foreign investment; a small number of sectors are reserved or require a local partner or licence. We confirm the position for your sector with Rahman & Associates before you commit.
What ongoing obligations does a Bangladesh subsidiary have?
Annual return and audited accounts filed with RJSC, corporate income-tax return with the NBR, monthly VAT and withholding returns where applicable, annual trade-licence renewal, and labour-law records for employees. These obligations exist whether you employ one person or one hundred.
Can a PEO be used in Bangladesh if we have no entity?
No. A PEO co-employs staff with a client that is already a registered employer in the country. A foreign company with no Bangladesh entity cannot be a co-employer, so the EOR model, where the provider is the sole legal employer, is the applicable option.
Is EORBangladesh an EOR or a PEO?
EORBangladesh operates as an Employer of Record: our Bangladesh entity is the sole legal employer. For clients that already have a Bangladesh entity we provide payroll outsourcing and managed HR services, which is the closest equivalent to PEO-style support.
Do EOR employees get the same statutory benefits as directly employed staff?
Yes. Employees of an EOR are employees under the Bangladesh Labour Act 2006 and receive the statutory entitlements it provides: leave, working-hours protections, festival bonuses, Provident Fund and gratuity.
What is the difference between EOR and a staffing agency?
A staffing agency supplies temporary or contract workers, usually for short assignments, and often owns the relationship with the worker. An EOR employs staff you selected, for as long as you need them, under your management, with IP assigned to you. See recruitment and remote teams for how sourcing and EOR combine.
HR administration and recruitment
What HR records must an employer keep in Bangladesh?
The Bangladesh Labour Rules 2015 prescribe registers and forms for employees, service books, leave, working hours, overtime and wages. EORBangladesh maintains the prescribed records for staff it employs and can maintain them for your own entity under managed HR services; they are available for inspection or audit within two business days.
Can you handle onboarding and offboarding for staff who work remotely for us?
Yes. Onboarding covers contract signing, document collection, payroll registration and equipment provisioning; offboarding covers notice administration, exit paperwork, equipment return and final settlement including accrued leave and gratuity, completed within 30 days of the last working day.
Do you provide employee handbooks and policies aligned with Bangladesh law?
Yes. We provide a policy set (leave, working hours, conduct, grievance, IT and data use, anti-harassment) aligned with the Labour Act and Labour Rules, adapted to your company's global policies where the two are compatible. The handbook is issued in English with a Bengali summary.
How do you handle performance issues or terminations?
We advise on the procedure the Act requires (s.23 for misconduct, s.26 for termination with 120 days' notice or pay in lieu for monthly-rated staff), prepare the documentation, and administer notice or payment in lieu. Decisions on performance remain with you as the manager; the procedural steps are handled by us as the employer or as your HR administrator.
Which roles can you recruit in Bangladesh?
Software engineering, QA, data and analytics, finance and accounting, customer support, back-office operations, design and digital marketing are the most common. Dhaka has a large English-speaking graduate pool in these areas. Specialist or senior roles take longer; we will tell you if a brief is unrealistic.
How long does recruitment take?
A shortlist for a mid-level role typically takes 2–3 weeks; senior or niche roles take 4–6. Once you select a candidate, EOR onboarding adds 5–7 business days, so a first working day within five to six weeks of the brief is normal.
What does recruitment cost?
Recruitment is priced separately from the EOR fee: 12% of first-year gross salary, or a fixed USD 900 per hire for roles under BDT 80,000 a month, invoiced on the start date with a 90-day replacement guarantee. There is no charge if you hire from your own pipeline and use only the EOR service.
Can you provide managed remote teams or BPO staffing?
Yes. For teams of five or more we provide supervised delivery with a local team lead, shared workspace in our Banasree office or a partner co-working space in Gulshan, and equipment, while each person remains your dedicated employee under EOR with IP assigned to you.
Data, IP and the company
Who owns the intellectual property created by an employee hired through an EOR?
Your company. Employment contracts issued by EORBangladesh include IP-assignment, confidentiality and non-solicitation clauses that assign work product to the client, and our client services agreement confirms the assignment and adds an NDA. We will align the clause wording with your group standard where Bangladesh law allows.
Is EORBangladesh a registered company in Bangladesh?

Our 22-person HR, payroll and compliance team works from our Banasree office in Dhaka. Client calls are taken in English during office hours (GMT+6) and by appointment outside them; we run a 14:00–23:00 desk for clients in the Americas.
